Applying for Company Incorporation

As most people think that being a business owner means freedom and wealth, start operating a new company can be a tempting career choice. After thinking about the products and services you want to offer, your potential customers, the capacity of the field you wish to enter, your marketing strategies and so on, you may be sure about how you can keep your company running. So, before everything starts, you need to set up your own company.

But now, let us go through the application process so that you have a rough idea of it. 

If you wish to establish a company, you should make an application for incorporation with the Registrar. You should not form a company for any illegal purposes. The application should include a statement by all the individuals who want to establish a company. The statement should consist of the particulars such as the name of the proposed company, the company’s status (public or private), the nature of the business, its proposed address of the registered office. 

Also, in that statement, you need to include the name, nationality, identification, as well as the ordinary place of residence of each individual who will become the company’s member. If any of them is a body corporate, you should provide the name of the corporate (Also see Prohibitions on the Use of Company Names under the Minister’s Direction), its registration number, place of incorporation, as well as its registered office. 

Besides, according to the Companies Act 2016, all companies should have at least one director and at least one secretary. Thus, the statement should also include the name, nationality, identification as well as principal place of residence for all the individuals who want to the company’s director. For the secretary, his name, nationality, identification as well as the principal place of residence should be included in the statement too.

If you choose to set up a company limited by guarantee, you need to submit the particulars about the sum that the members will undertake to contribute to the company’s asset (Also see Understanding Contra Asset Accounts) if the company becomes wound up. Apart from this, you will need to provide other information according to the requirement of the Registrar. 

You should also submit a statement issued by each director or promoter when you apply for the incorporation. In the statement, the director or promoter should confirm his consent to his appointment or act as the company’s director or promoter. Besides, he should also specify in the statement that he is not disqualified from being the company’s director or promoter under the Companies Act 2016.
